About Me

Hello ! I'm Tsaelyh, a 26yo freelance illustrator based in France. I've only started to draw a few years ago now, but I've always been in awe before the amazing concept arts of my favourites video games like Xenoblade or Final Fantasy.As you probably saw, landscapes are my speciality ! I love imagining vast worlds with atmospheric storytelling and I try to imbue them with feelings. I also enjoy writing short stories about them, continue to scroll down if you are interested !

Article I. The benefits

Prices stipulated in the quotation are valid for one month from the date of issuance thereof. These are firm and not subject to revision if the command occurs during this period. The deliverables are those clearly stated in the quote, as a corollary all services not listed are not included and will be subject to an additional free quote.

Article II. Order and start of work

The quotes and Conditions signed by the client exclusively apply for acceptance of all these and act as order form. No work will begin without this (quote and Conditions signed). All orders automatically entail acceptance of these terms and conditions. Unless otherwise stated, any changes requested by the client after acceptance will be subject to an independent billing.

Article III. Commitments of the parties

In general, the Sponsor and Tom Favier undertake to actively work together to ensure the proper execution of the contract. Each is committed to provide all the difficulties which he has knowledge, as and when, to enable the other party to take the necessary measures.

1. Sponsor

To allow Tom Favier to achieve his mission, the sponsor agrees to:

● establish a detailed specifications which will undergo no more modification, unless the parties agree, after being approved by Tom Favier. In cases where changes involve a substantial revision of the original specifications, they will be charged in addition to the initial estimate.

● supply all the graphic and textual documentary elements necessary for the good realization of the contract (in particular in the good exploitable formats according to the aimed media) and report to Tom Favier all of these elements which are not in the public domain so that the sponsor is consistently able to consider if necessary the acquisition of reproduction rights thereto. Sole responsibility of the Sponsor may be engaged as such.

● actively participate in the project's success in bringing Tom Favier in useful time all information and documents necessary for the proper understanding of the needs and performance benefits.

● strictly comply with technical and creative recommendations made by Tom Favier.

● guarantee Tom Favier against any action which could be instituted to him because of the data or the information (texts, images, sounds) supplied or chosen by the sponsor.

● inform Tom Favier of a possible competition with other providers.

2. Tom Favier

● If necessary Tom Favier can intervene in the elaboration of the specifications, together with the sponsor.

● Unless explicitly stated otherwise, Tom Favier ensures that the artworks and designs are legally available and are not encumbered by rights of third parties, employees or not Tom Favier for the uses specified in the contract.

● Tom Favier will inform regularly and effectively the sponsor of the achievement of the contract and that, in particular, through validations submitted to the sponsor.

Article IV. Lead Time

Relative delays in the technical works (creation, manufacturing, etc.) will be definitive only in the signing of the firm command orders, and it is that in the reception of all the constituent elements of the work that they become actual. The non compliance by the customer of the planned calendar or the requirement of deadlines can damage the quality of the work. The customer accepts the consequences. Significant modifications, iterations, delay in the decision-making or late delivery of documents by the customer and necessary for the artwork, push the delivery deadline established between both parties.

Article V. Design and Delivery

The customer guarantees to have taken the care of supplying to Tom Favier the most precise possible specifications detailing the nature and the environment of the order to achieve (see Art 3 - 1 of this page). If the customer does not supply a specifications to Tom Favier before the beginning of the realization of the order, or when the specifications do not give indications or recommendations enough precise on the way an element of the artwork included in the order must be approached, both parties agree on the fact that the design of the element is left with the interpretation of Tom Favier.

Article VI. Billing and Payment

100% of payment will be asked after validation of the initial sketch, which includes composition research, color research and global atmosphere.
Once the sketch is validated, the payment of the invoice is due below a maximum of 30 days after the issuance thereof. The fees must be paid no later than the end of the month following the billing and not according to the commercial rules of the Sponsor.The payment is made by wire transfer or Paypal in the order of Tom Favier. Any fees induced by the use of said platforms will be paid by The Sponsor.In case of delay, penalties will be due without any necessary reminder in accordance with the law (cf: c. com. art L. 441-6, al.2 modified by the law of May 15th, 2001, France).Pursuant to Law No. 92-1442 of 31.12.1992, France, a penalty set at 15% of the net invoice amount for each month of delay or part thereof, is due, without reminder, the day following the date of settlement.In case of non-payment the customer will pay all recovery costs. Tom Favier reserves the right to suspend any order and any delivery in case of refusal of authorization of payment on behalf of the officially accredited parties or in case of nonpayment. Tom Favier specifically reserves the right to refuse its services for an order from a buyer who has not fully or partially paid a previous order or with whom a payment dispute is being administered. The non-payment results in the not transmission of the rights of use and distribution of the achieved works, even if the files of the designs or artworks were already delivered to the customer.As stipulated in Art3 - 1. of these Terms, in case modifications would imply a substantial reorganization of the initial specifications, they will be charged in addition to the initial estimate. According to the article 293 B of the general Code of the taxes in France, the VAT is not applicable.

Article VII. Other Expenses

Movements necessary for the proper execution of the contract may also be charged to the sponsor (whether before or after the contract is signed). Also, supplies such as fonts, photo prints, films resulting from flash drive, laser color printing, and all elements necessary for carrying out the work are not included in the fees of creation.

Article VIII. Confidentiality, Data Protection

Tom Favier refrains to reveal the information provided by the client and expressly stipulated confidential. Under the Privacy and throughout the term hereof and even after cessation for any reason whatsoever, Tom Favier agrees to keep strictly confidential all information and documents of any kind relating to the Sponsor in which he would have been able to have access in the frame in particular of the execution of the present mission. On its side, the customer agrees not to disclose any data, formulas, programs, procedures or information they have been aware of the execution of these conditions. The information collected in the context of trade relations are intended solely for internal use and are not in any circumstances transferred to third parties. Prospects and customers have a right to access, modify, rectify and delete data concerning them according to art. 34 of the Data Protection Act of France.
The collection of Tom Favier 's data for generative Artificial Intelligence purpose can't be made without his consent.

Article IX. Copyright, Legal notices and Principles

The reproduction and the republication of the artworks and designs of Tom Favier are subject to the perception of copyright according to the law of 11 March 1957 French law. The transfer of those rights only concerns specifically intended use. Any subsequent or different use requires a new agreement. Changes or interpretations of graphic design can be made in any case, without the consent of Tom Favier. An idea proposed by the client is not in itself a creation. Unless explicitly stated otherwise by the client, Tom Favier reserves the right to include in the finished work a commercial mention indicating clearly its contribution with a hypertext link and/or a logo pointing to the commercial site of its activity (https://tsaelyh.crd.co). Commercial mention can’t be moved or removed without the written consent of Tom Favier.

Article X. Rights of reproduction and distribution

Rights of reproduction and distribution are calculated according to the distribution of the work. They can be inclusively sold or partially. Every adaptation different from the original work is the object of a new transfer of copyright. For every new edition, the fee must be updated. Rights are assigned in the temporal and geographic scope of this contract and shall not exceed in this limit. To allow the Sponsor to use freely the service provided in the course of its business, all proprietary rights with respect to the creation of the service provider under the project will be fully and exclusively assigned to the Sponsor and that for the distribution on the supports specifically defined in the order during the actual payment of all fees due.

Article XI. Rights of advertising

Under the moral right of Tom Favier on its creation, the Sponsor allows Tom Favier to mention the work as an example of achieved creations on his commercial documents and advertisement. It is agreed that in case of specific operation of the Sponsor, and only in connection with the success of its business, the Sponsor may request a period of confidentiality to Tom Favier which may apply only upon acceptance of the latter.

Article XII. Inability to work

In case of incapacity, as a result of disease or of accident, Tom Favier reserves the right to break the present contract, and/or to modify the current planned calendar without being required by the Sponsor the payment of compensations. It is assumed that the service provider Tom Favier must inform the Sponsor on the first working day of incapacity.

Article XIII. Breach of contract

In case of breach of the contract before its term by the Sponsor or Tom Favier, the Sponsor makes formally a commitment to settle and to pay amounts relative to the current calendar, to the realized jobs or in progress, as well as additional services done. All copyrights remain the sole and exclusive property of Tom Favier, with the exception of data provided by the sponsor. The source files and datas created and used by Tom Favier can not therefore be claimed by the sponsor without a financial contribution. All original works remain the property of the author, as well as rejected projects. These documents should be returned undamaged and to his demand.

Article XIV. Jurisdiction

The general terms and conditions listed above are governed by French law. Any dispute relating to these terms and conditions for lack of mutual agreement will be reported to the competent courts of France in the city of the liking of Tom Favier, which is expressly accepted by the customer.
